These Terms of Service ("Terms") govern your access to and use of Magicals, an early-access software product that helps ecommerce brands create marketing emails. By signing up for an account, accessing, or using Magicals, you agree to these Terms. If you don't agree, don't use the service.
Magicals is in early access. That means the product is actively being built, things will change, and some features may not work as expected. We're onboarding early users by invitation and we'll work closely with you. These Terms reflect that early-access reality and will be updated when we move to general availability.
1. Who we are
Magicals is currently operated by Codrawer Ltd, a company registered in England and Wales (company number 14729382, registered office at Apartment 144 Dudley House, North Wharf Road, London, England, W2 1QZ) ("we," "us," "our," or "Magicals"), trading as "Magicals."

2. Eligibility and accounts
Magicals is a business-to-business product. By creating an account, you confirm that:
You are at least 18 years old and have authority to enter these Terms on behalf of the business you represent.
You're using Magicals for business purposes, not as a consumer.
The information you give us at signup is accurate and you'll keep it up to date.
You're responsible for keeping your login credentials secure and for everything that happens under your account.
Early access is by invitation only. We reserve the right to approve, decline, suspend, or terminate accounts at our discretion, including if we believe the account is being used in breach of these Terms.
3. Early access — what to expect
Magicals is provided to early access users on an "as-is" and "as-available" basis. Specifically:
Features may change, be added, or be removed without notice.
The product may experience bugs, downtime, data loss, or unexpected behaviour.
We don't guarantee any specific uptime, performance, or output quality during early access.
You should not rely on Magicals as the sole source of any business-critical asset — keep your own backups of brand assets and exported emails.
We're working hard to make Magicals great, but if you need ironclad guarantees, early access isn't the right fit yet.
4. Acceptable use
You agree not to use Magicals to:
Send unsolicited bulk email, spam, or anything that violates applicable email or communications law (including but not limited to GDPR, UK GDPR, CAN-SPAM, CASL, and TCPA).
Generate or distribute content that is illegal, fraudulent, defamatory, hateful, harassing, or that infringes anyone's rights.
Promote weapons, illegal drugs, adult content, or any product or service prohibited by applicable law.
Reverse engineer, decompile, scrape, copy, or attempt to recreate Magicals or any part of it.
Use Magicals to build or train a competing product.
Interfere with, probe, or test the security of the service, or attempt to gain unauthorised access to any account, system, or data.
Resell, sublicense, or share access to your Magicals account without our written permission.
Programmatically abuse the service, or send automated, scripted, or excessive requests that go beyond normal, reasonable use of the product.
Where we describe usage as "unlimited," this means unlimited within reasonable use. It does not permit abusing, overloading, automating, or programmatically driving the service to send requests at a volume or in a manner beyond normal use by a typical customer. We decide, at our reasonable discretion, what counts as reasonable use, and we may throttle, suspend, or terminate accounts that exceed it.
You're responsible for the content you upload, generate, and send. We may suspend or terminate your account if we reasonably believe you're breaking these rules.
5. Intellectual property
5.1 Our IP
We own Magicals — the software, the underlying models, the UI, the brand, the built-in templates, and all related technology. We grant you a limited, non-exclusive, non-transferable, revocable licence to use Magicals during your subscription, solely for your internal business purposes and subject to these Terms.
5.2 Your brand assets
Anything you upload to Magicals — logos, brand guidelines, product imagery, copy, fonts, and similar ("Customer Content") — remains yours. By uploading Customer Content, you grant us a worldwide, non-exclusive, royalty-free licence to host, process, and use that content for the sole purpose of providing Magicals to you.
5.3 Generated emails
For clarity, the following definitions apply:
Email Design: the editable, in-product representation of an email inside Magicals, including layout, saved sections, and component structure.
Exported Email: an email that has been exported out of Magicals, in HTML form, image form, or transferred to a connected email platform such as Klaviyo.
You own your Exported Emails. Once exported, you can use them however you like.
Email Designs live inside Magicals and are tied to your account. While your subscription is active, you can edit, duplicate, and export them freely. If your subscription ends (see Section 8), your ability to edit and generate new Email Designs is removed, but you retain read and export access to your existing library.
5.4 How we use your data to improve Magicals
We will never copy, resell, or redistribute your Email Designs, Customer Content, or Exported Emails.
We may use aggregated and anonymised information about how users interact with Magicals — for example, which features are used, which workflows are common, which kinds of layouts perform well — to improve the product and refine our built-in templates and systems. This is about understanding usage patterns, not copying your creative output.
If you would prefer us not to use even this aggregated, anonymised information in any way, contact us and we'll discuss options.
6. AI-generated content
Magicals uses third-party AI providers (currently including Anthropic, Google, and Mistral — see our
Privacy Policy for the current list) to help generate and refine email content. You acknowledge that:
AI outputs may contain errors, factual inaccuracies, or unintended phrasing. You're responsible for reviewing all generated content before using or sending it.
We don't warrant that AI outputs are unique, original, or non-infringing. Similar prompts and inputs may produce similar outputs across users.
You shouldn't submit anything to Magicals that you wouldn't want processed by an AI service — don't upload sensitive personal data, payment card data, or confidential third-party information.
We do not permit our AI providers to use your data to train their public models. Some providers may process inputs and outputs transiently to deliver the service; details are in our Privacy Policy.
7. Payment and subscription
7.1 Pricing
Early access users pay $149 or $195 per month (USD), billed monthly in advance. This is the "Early Access Price."
When Magicals moves to general availability, early access users who maintain an active, unbroken subscription will be grandfathered into the Early Access Price for as long as their subscription remains continuously active. If you cancel and re-subscribe later, you'll be subject to then-current pricing.
We reserve the right to introduce new pricing tiers, plans, and product lines (including for new features), and to change pricing for users not on the Early Access Price.
7.2 Renewal and cancellation
Subscriptions renew automatically each month until cancelled. You can cancel at any time from within your Magicals account, from Shopify or by emailing us. Cancellation takes effect at the end of the current billing period.
7.3 Refunds
Magicals is a creative software tool delivered digitally. We do not offer refunds for partial months, unused time, or for usage that has occurred.
As a goodwill gesture, if you cancel within 30 days of your first paid month and have not generated any emails or used any AI features during that time, you can request a full refund of that month's fee by emailing us. We may, at our discretion, offer refunds outside of this in exceptional circumstances, but we're under no obligation to do so.
Nothing in this section limits your statutory rights as a consumer where applicable. Magicals is sold for business use; if you are using it as a consumer in the UK or EU, certain mandatory consumer protections may apply and will override anything inconsistent in this section.
7.4 Taxes
Prices are exclusive of any applicable sales tax, VAT, GST, or similar taxes. You're responsible for any such taxes that apply to your use of Magicals, except for taxes on our income.
8. Cancellation, account closure, and data
There are two different things you can do:
8.1 Cancelling your subscription
If you cancel your paid subscription, at the end of your current billing period:
You lose access to AI generation, new email creation, and editing of existing Email Designs.
You keep read-only access to your existing Email Design library and can continue to export Exported Emails (HTML, images, transfers to connected platforms) indefinitely, free of charge, for as long as we offer this option.
Your account remains open in this limited "archive" state until you either resubscribe or request account closure.
We reserve the right to discontinue free archive access in the future on reasonable notice (no less than 30 days).
8.2 Closing your account
If you ask us to close your account (or we close it for breach of these Terms), we may delete your Customer Content, Email Designs, and account data from our production systems within 30 days, except where we're legally required to retain certain information (for example, billing records). Backups may persist for a limited period before being overwritten in the normal course.
After closure, aggregated and anonymised usage information that no longer identifies you or your account may continue to inform product improvements, as described in Section 5.4.
9. Privacy and data
Our handling of personal data is described in our Privacy Policy. By using Magicals, you confirm you've read it.
In summary:
Magicals stores and processes data primarily in the European Union, with application servers and the main database hosted in Germany, and file storage via an EU-based cloud storage provider.
We use a limited number of trusted service providers (sub-processors) to operate the platform, listed in our Privacy Policy. Some may process data in countries outside the EU, including the United States, under appropriate safeguards such as the EU Standard Contractual Clauses.
We process personal data in line with the UK GDPR and EU GDPR where applicable.
If you're a business customer processing personal data on behalf of your own customers through Magicals, a Data Processing Agreement (DPA) is available on request.
10. Warranties and disclaimers
To the maximum extent permitted by law, Magicals is provided "as-is" and "as-available" without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the service will be uninterrupted, error-free, or secure.
We don't warrant that any content generated through Magicals will achieve any particular business result — including but not limited to email open rates, click-through rates, deliverability, conversions, or revenue.
11. Limitation of liability
To the maximum extent permitted by law:
Neither party is liable to the other for any indirect, incidental, consequential, special, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility of such damages.
Our total aggregate liability to you under or in connection with these Terms, in any 12-month period, is limited to the greater of (a) the total fees you paid us in the 12 months preceding the event giving rise to the liability, or (b) USD $100.
Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law (for example, liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence).
12. Your indemnity to us
You agree to indemnify and hold us harmless from any claims, damages, losses, or costs (including reasonable legal fees) arising out of: (a) your use of Magicals in breach of these Terms; (b) your Customer Content or any emails you send using content generated through Magicals; (c) your violation of any law or third-party right.
13. Suspension and termination by us
We may suspend or terminate your access to Magicals immediately if:
You materially breach these Terms and either don't fix the breach within 7 days of us flagging it, or the breach is one that can't reasonably be fixed.
We're required to do so by law or regulation.
We reasonably believe your use of Magicals creates a security, legal, or reputational risk to us or to other users.
During early access, we also reserve the right to terminate your access for any reason on 30 days' notice, in which case we'll refund any prepaid fees for the unused portion of your then-current billing period.
14. Changes to these Terms
We may update these Terms from time to time, especially as we move from early access toward general availability. If we make material changes, we'll let you know by email or via the product at least 14 days before the changes take effect. Continued use of Magicals after the changes take effect means you accept the updated Terms. If you don't accept them, your remedy is to cancel your subscription.
15. Governing law and disputes
These Terms are governed by the laws of England and Wales. Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the courts of England and Wales.
Before starting any formal proceedings, both parties agree to try to resolve the dispute in good faith through direct discussion for at least 30 days.
16. Miscellaneous
Entire agreement. These Terms (together with the Privacy Policy and any DPA) are the entire agreement between you and us regarding Magicals and supersede any prior agreements or understandings.
Severability. If any provision is found unenforceable, the rest of the Terms remain in effect.
No waiver. Our failure to enforce any right or provision isn't a waiver of that right.
Assignment. You can't assign these Terms without our written consent. We may assign these Terms to any successor or affiliate, including (as described in Section 1) to the Successor Entity upon incorporation.
Force majeure. Neither party is liable for failures caused by events outside their reasonable control.
Notices. We'll send notices to the email address on your account. You can send notices to us at support@magicals.com.
